About ROC
Registrars of Companies (ROC) appointed under Section 609 of the Companies
Act, 1956 are vested with the primary duties of registering companies and ensuring that
such companies comply with statutory requirements under the Act. He also deals with Change
of name of companies, Change of financial year, Conversion of companies from Private to
Public and vice versa, Striking off of names of companies, Default action against the
companies. These offices function as registry of records, relating to the companies
registered with them, which are available for inspection by members of public on payment
of the prescribed fee. The Central Government exercises administrative control over these
offices through the respective Regional Directors.
Issues relating to shifting of registered office out of the state, extending the time for
filing charges, modification and satisfaction, complaints against companies for repayment
of deposits are dealt by Company Law Board Bench at Chennai.
The Regional Director, Ministry of Company Affairs (Southern Region), Chennai is the
controlling officer of the Registrar of Companies, Kerala, who is an authority for
discharging delegated functions such as granting License under Section 25 of the Companies
Act, 1956 and delegated authority for filing report under sections 391 to 394 of Companies
Act, 1956.
